Inc Legal Services

Non-Profit 501 3C Preparation, we herein explain our services for this Internal Revenue filing for the fee of $750.

To begin you will need to either choose our services for Non Profit by-laws or provide acceptable by-laws yourself.  Our fee for basic “boiler plate” by-laws is $250.00 and includes the preparation based on a checklist we provide to you.  For custom by-laws which include consultation time with one of our experts the price range is $500.00 - $750.00. This is recommended for serious businesses with multiple shareholders.

The filing of the 501 (c) (3) – (or any other 501 Classification) is an involved, detailed process which includes multiple IRS filing packets to be done in a particular order.  Corporate Legal prepares and files the pre-form 1023 or 1023 ez (if you qualify).  Once approved that filing is followed up with the actual 501 package.    The IRS has a two-tiered filing fee structure. Most organizations pay the standard $850 filing fee when sending their application to the IRS. Organizations that expect to have (or have had) no more than $40,000 in gross revenue for the first four years combined can pay a reduced filing fee of $400.  Once approved an annual filing of IRS form 990 is required.  (Contact us for quotes to prepare that filing for you.)  You should allow 6 months to a year for the filing process to be complete – though you are allowed to begin operations as long as you annotate your status as “Nonprofit status in progress” in solicitations. Our initial fee is based upon complete account support from the client.  This leads us  two issues:

Charitable Solicitations Registration;

There are 40 states requiring charitable organizations to register prior to soliciting donations. This often-misunderstood requirement is quickly becoming one of the most serious compliance issues across the country as cash-strapped states ramp up enforcement.  Don’t risk costly penalties! Let our compliance experts sort out your requirements and help you get (and stay!) properly registered.

State Examples;

1. California
2. Nevada
3. Pennsylvania
4. Wyoming

5. List of states requiring charitable organization

Some States still require a separate filing for exemption of tax status and don’t recognized the Federal filing of the 501 c 3 on its own.  California is one of these states.  That being said the separate exemption filings are only required if you are brick and mortar in that state.  Brick and mortar means that you have a physical location open to the public.  If not, you need only file the appropriate forms for Charitable Solicitations Registration.

Individual state Non Profit requirements;

1. California
2. Nevada
3. Pennsylvania
4. Wyoming

Costs for preparing these state filings are done on a case by case basis and not all states will allow you to solicit donations while your Nonprofit status has not been confirmed.  Please contact us for a quote to file into states you are interested in filing into.
